VeraGen Terms of Use

These Terms of Use ("Terms") are an agreement between you and VeraGen LLC ("VeraGen", "we", "us" or "our"). They govern your use of veragen.ai, the VeraGen AI Hub at hub.veragen.ai, and any related services, apps, APIs and support we provide (together, the "Service").

If you use the Service on behalf of a company or other organisation, you agree to these Terms on its behalf and confirm that you have authority to do so. In that case "you" means that organisation, and "Customer" means the organisation that holds the VeraGen account.

By creating an account, starting a trial, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The short version

• What you make in VeraGen is yours. Documents, prototypes, videos, courses, datasets, posts, workflows and everything else you create or upload belong to you, not to VeraGen. We only use them to run the Service for you.
• We do not use your content to train AI models.
• Every plan is paid, and starts with a 14-day free trial. A card is needed to start. The trial includes $5.00 of AI usage credit. If you do not cancel before the trial ends, your plan starts and your card is charged.
• AI and other usage is paid from a prepaid balance that you top up.
• Check AI output before you rely on it. AI can be wrong.

This summary is for convenience. The full Terms below are what apply.

1. The Service

VeraGen is an online workspace for building with AI. Depending on your plan, it includes tools to manage documents and data, research and write with AI, build prototypes and websites, make videos, create training courses and quizzes, run automated workflows, plan and publish social media, keep a CRM, generate leads, and publish selected work on a public profile.

We improve the Service continually, so features change. We may add, change or remove features. If we remove a feature that is a material part of your paid plan, we will tell you in advance where we reasonably can. Some features are marked as beta or early access. They are provided as they are, may change without notice, and may not be as reliable as the rest of the Service.

2. Accounts and eligibility

Who can use the Service. The Service is for businesses and professionals. You must be at least 18 years old and able to form a binding contract. The Service is not directed to children, and you may not use it if you are under 18.

Your account. An account belongs to the Customer. The person who creates it is its owner. The owner and admins can invite team members, assign roles, set spending limits and remove people. You are responsible for everyone you invite and for everything done under your account.

Sign-in. Each person signs in as themselves. Do not share passwords or sign-in codes. Keep your credentials secure, and turn on two-factor authentication where available. Tell us immediately at hello@veragen.ai if you think someone has accessed your account without permission.

Accurate information. Keep your account, billing and contact details accurate and up to date.

3. Plans, trial, billing and prepaid credit

3.1 Plans

Every VeraGen plan is a paid plan. The features, limits and prices of each plan are shown on our pricing page or in your order at the time you subscribe. Plan fees are billed in advance for each billing period (for example, monthly) and are in US dollars unless stated otherwise.

3.2 Free trial

• New Customers can try a plan free for 14 days.
• A valid payment card is required to start the trial.
• Each new trial includes $5.00 of starter AI usage credit. Starter credit has no cash value, cannot be transferred or refunded, and expires when the trial ends if it has not been used, unless we say otherwise.
• When the trial ends, your plan starts automatically and your card is charged the plan fee for the first billing period, unless you cancel before the trial ends. We will remind you before the trial ends.
• You can cancel at any time during the trial in Account → Billing, and you will not be charged the plan fee.
• One trial per Customer. We may refuse or end a trial that we reasonably believe is being misused, for example repeated trials by the same organisation.

3.3 Prepaid balance and usage

Many things the Service does for you have a real cost to us each time they happen: AI model calls (text, images, video, music and speech), reading and searching documents, web crawls, lead data, storage, compute and similar. These are metered and paid from your account's prepaid balance, separately from the plan fee.

• Adding credit. You add credit to your balance by card. A minimum top-up amount applies and is shown at checkout.
• Usage charges. Usage is charged against your balance at the rates shown in the Service or on our pricing page. Your Billing page shows your balance, your usage by app and by person, and every movement of the balance. Monthly statements are issued for each month that has ended.
• Holds. Some long or expensive tasks (for example, a persona simulation or a lead search) reserve their maximum estimated cost from your balance when they start. Anything not used is returned to your balance when the task finishes.
• Running out. When your balance reaches zero, metered features stop until you add credit. Non-metered parts of the Service continue to work. Team members can be given monthly spending limits.
• Automatic top-up. If you turn on automatic top-up, you authorise us to charge your default saved card the amount you choose whenever your balance falls to the level you set, without further approval each time. You can turn it off at any time.
• Rate changes. We may change usage rates. Changes apply only to usage after the change takes effect, and we will give notice of increases in advance.
• Prepaid credit does not expire while your account is active, unless we tell you otherwise when you buy it. Promotional and starter credit may expire as stated when it is given.

3.4 Payment

Payments are processed by our payment provider, Stripe. By giving us a payment method, you authorise us (through Stripe) to charge it for plan fees, top-ups you request, and automatic top-ups you have turned on. If a payment fails, we may retry it, ask you to update your card, and suspend paid features until payment succeeds.

3.5 Taxes

Prices do not include taxes unless stated. You are responsible for any sales, use, value added or similar taxes on your purchases, other than taxes on our income.

3.6 Renewal and cancellation

• Plans renew automatically at the end of each billing period at the then-current price until cancelled.
• You can cancel at any time in Account → Billing. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not charge the plan fee for later periods.
• If we raise a plan price, we will tell you at least 30 days before it applies to you, and you can cancel before then.

3.7 Refunds

Except where the law requires otherwise or these Terms say so:

• Plan fees already charged are not refundable, including for partial billing periods.
• Usage already incurred is not refundable, because it pays for costs that have already been spent on your behalf.
• Unused prepaid credit is not refundable except when we close your account for our convenience (not for your breach), or when the law requires a refund. In those cases we will refund unused purchased credit (not starter or promotional credit) to the original payment method.
• If you believe you were charged in error, contact hello@veragen.ai within 60 days and we will investigate. If we made the mistake, we will correct it.

Nothing in this section limits any right to a refund that you have under the consumer laws that apply to you.

4. Your content belongs to you

This section is important, and we mean it plainly.

"Your Content" means everything you or your team put into the Service and everything you create with it, including: documents, files, pages and notes; datasets and spreadsheets; prototypes and websites; videos, images, audio and music; courses, quizzes and learning materials; social posts and calendars; workflows, prompts, skills and settings; CRM records and messages; and the AI output generated for you (see section 5).

• You own Your Content. VeraGen does not. We claim no ownership of anything you create or upload. Using the Service does not transfer any of your rights to us.
• The only rights we need. You give VeraGen a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you: for example, to save your files, send them to an AI model to answer your request, render your video, show your work to your team, and publish what you choose to publish. This licence ends when Your Content is deleted from the Service, except for copies in backups that are deleted on their normal schedule.
• We do not use Your Content to train AI models. We do not use it to train, fine-tune or improve any AI model, ours or anyone else's, and the AI providers we use do not train their models on it under their terms with us. Your Content is used to give you your answer, and for nothing else.
• We do not sell Your Content or use it for advertising.
• Publishing is your choice. Your Content stays private to your account until you choose to publish it (for example, on your public profile, as a public course, or as a social post). You can unpublish it at any time, but we cannot recall copies others have already made or that third-party networks keep.
• Your responsibility. You confirm that you have the rights needed to upload and use Your Content in the Service, and that it does not break the law or these Terms.

5. AI-generated output

The Service uses third-party AI models to generate text, code, images, video, audio, music and other material for you ("Output").

• You own the Output created for you, to the extent the law allows. We assign to you any rights we may have in it. In some countries, purely AI-generated material may not be protected by copyright, so we cannot promise that anyone owns it in a legal sense.
• Output may not be unique. The same or similar Output may be generated for other people. We do not promise that Output is original or that it does not resemble other material.
• Check Output before you rely on it. AI can be wrong, incomplete, out of date or biased, even when it sounds confident. You are responsible for reviewing Output and deciding whether it is accurate and suitable before you use, publish or act on it. Output is not legal, financial, medical or other professional advice.
• Third-party rights. You are responsible for making sure your use of Output, especially published or commercial use, does not infringe anyone's rights or break the law.
• Content checks. Before certain material reaches the public (for example, social posts, public chat answers and news articles), the Service checks it automatically for sexual content, graphic violence and illegal activity, and may hold it. A held item can be reviewed by VeraGen on request.

6. Acceptable use

You must not, and must not allow anyone else to, use the Service to:

1. break any law or regulation, or help anyone else do so; 2. upload, create or publish content that is illegal, sexually exploits minors, harasses, threatens, defames, or promotes violence or hatred; 3. infringe anyone's intellectual property, privacy or publicity rights; 4. send spam or unsolicited bulk messages, or email or message people in breach of anti-spam, marketing or privacy laws (including CAN-SPAM, TCPA, GDPR and PECR). You must honour opt-outs, and you must not contact people on do-not-contact lists; 5. collect, buy or use personal data without a lawful basis, or use lead or contact data for any purpose that is not permitted by law or by the terms of its source; 6. crawl, scrape or extract data from websites or services in breach of their terms, robots instructions or the law; 7. impersonate any person or organisation, or misrepresent where content came from, including presenting AI-generated content as made by a real person in a way that misleads; 8. create deceptive content such as fake reviews, fake records, or synthetic images, audio or video of real people without their consent; 9. probe, scan, attack or test the security of the Service, or bypass any access control, rate limit or spending limit; 10. interfere with the Service, overload it, or introduce malware; 11. access another Customer's data, or attempt to; 12. reverse engineer the Service, except where the law allows it despite this restriction; 13. resell, sublicense or provide the Service to others as a standalone service, except as we agree in writing; 14. use the Service or Output to build a competing product, or to train AI models that compete with us; 15. break the terms or policies of the AI providers, social networks and other third-party services the Service connects to, which we make available on request.

We may investigate suspected breaches and remove or disable content that breaks these Terms.

7. Third-party services and connected accounts

The Service can connect to other services you choose, such as Google (Gmail, Google Calendar and Google Drive), email accounts over IMAP and SMTP, X, LinkedIn, Slack and others. When you connect one:

• you authorise us to access that account on your behalf, with the permissions you grant, to provide the feature you asked for (for example, to show your inbox in Thrive, import a document, or publish a post);
• your use of that service is governed by its own terms and privacy policy, not ours;
• we are not responsible for third-party services, their availability, or changes they make that affect the Service;
• you can disconnect at any time in the Service, and you can also revoke access in the third-party service itself.

Posts and messages you publish through a connected account are published by you, as you, and you are responsible for them.

Stock media and other third-party materials offered in the Service are provided under their own licences, which we will show or make available. You must follow those licences.

8. API

We may offer an application programming interface (API) and API keys. If you use them:

• these Terms apply, along with any API documentation and limits we publish;
• keep your API keys secret; you are responsible for all use made with them;
• API usage is metered and charged to your prepaid balance like any other usage;
• we may set and change rate limits, and may suspend keys that are abused or put the Service at risk.

9. Our property

The Service, including its software, design, features, templates, VeraGen-supplied media libraries, documentation and brand, belongs to VeraGen and its licensors and is protected by law. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription, under these Terms. We reserve all rights not expressly granted.

If you send us feedback or ideas, we may use them without obligation to you. Feedback does not include Your Content.

10. Privacy and data protection

Our Privacy Policy explains how we handle personal data.

When you put personal data about other people into the Service (for example, CRM contacts, leads, email, team members or course takers), you are the controller of that data and VeraGen is your processor. You are responsible for having a lawful basis to collect and use it, for giving any notices required, and for responding to those people's requests. We process it only on your instructions, as described in the Privacy Policy. A Data Processing Agreement (DPA) is available on request at hello@veragen.ai.

11. Suspension and termination

By you. You can cancel your plan at any time (section 3.6). An account owner can ask us to close the account and delete its data by contacting hello@veragen.ai.

By us. We may suspend or end your access, in whole or in part, if:

• you materially breach these Terms (including non-payment) and, where the breach can be fixed, do not fix it within 10 days of our notice;
• your use creates a security risk, legal risk or harm to the Service, other Customers or third parties, or we are required to by law (in these cases we may act immediately);
• we stop offering the Service, in which case we will give at least 30 days' notice and refund any unused purchased credit and any prepaid plan fees for the period after closure.

Where it is reasonable, we will try to suspend only what is necessary (for example, stopping publishing while leaving the rest of the account working) and to tell you why.

After termination. Your right to use the Service ends. For 30 days after an account closes for any reason other than a serious breach, an owner can ask us to export Your Content. After that we delete it as described in the Privacy Policy. Sections that by their nature should survive termination will survive, including sections 3.7, 4 (ownership), 5, 9, 12, 13, 14 and 16.

12. Disclaimers

We work hard to keep the Service reliable and secure, but the Service and all Output are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will be uninterrupted, error-free or secure, or that Output will be accurate, complete or reliable.

You are responsible for keeping your own copies of Content that matters to you.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the fullest extent the law allows:

• Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or relating to these Terms or the Service, even if it was told such damages were possible.
• Each party's total liability arising out of or relating to these Terms or the Service is limited to the amount you paid to VeraGen in the 12 months before the event giving rise to the claim (including plan fees and prepaid credit actually used), or US $100 if greater.

These limits do not apply to your payment obligations, to your obligations under section 14 (Indemnity), to a party's fraud, gross negligence or wilful misconduct, or to any liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify VeraGen, its affiliates and their personnel against third-party claims, and related losses, damages, fines and reasonable legal costs, arising from: Your Content; your use of Output; your breach of these Terms or of law; your messages, posts or outreach; or personal data you collected or used without a lawful basis. We will tell you promptly about the claim, let you control its defence, and cooperate reasonably at your cost. You may not settle a claim in a way that imposes an obligation on us without our consent.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect, unless the change is required by law or concerns a new feature, in which case it may take effect sooner. The "Last updated" date at the top shows when these Terms last changed. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, you can cancel before it takes effect.

16. General

• Governing law and disputes. These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. The courts located in Sheridan County, Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and both parties consent to that jurisdiction. Nothing here prevents either party from seeking urgent injunctive relief in any competent court, or removes protections you have under the mandatory consumer laws of the country where you live.
• Entire agreement. These Terms, the Privacy Policy, any order form and any DPA we sign with you are the whole agreement between us about the Service. If a signed agreement between you and VeraGen conflicts with these Terms, the signed agreement wins.
• Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets, with notice to you.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
• Severability and waiver. If a provision is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
• Notices. We may send notices to the email address on your account or show them in the Service. You can send notices to us at hello@veragen.ai or by post to 30 N Gould St, Ste R, Sheridan, WY 82801, USA.
• Export and sanctions. You will comply with applicable export control and sanctions laws, and you confirm that you are not located in, or acting for anyone in, a country or on a list subject to US sanctions.
• Independent parties. These Terms do not create a partnership, employment or agency relationship.
